Terms and Conditions of Sale
1. LA Clothing Solutions Ltd Terms & Conditions Apply
Unless otherwise specifically agreed with LA Clothing Solutions Ltd (“LA”), all quotations and contracts for the supply of goods by LA are made upon these Conditions of Sale (“LA’s conditions”) which shall at all times override any terms which the purchaser of such goods (the Purchaser) imposes or seeks to impose. Delivery of any goods following a quotation for supply made by LA will be made only upon LA’s Conditions. Orders are accepted subject to the Company’s Conditions of Sale.
2. Prices
The price charged to the customer either printed in the catalogue, online, quotation or via marketing material may change without prior notice and will be the prevailing price at the time of ordering and subject to VAT where applicable.
3. Retention of Title
Although risk in the goods supplied passes to the Purchaser on delivering, legal title in such goods shall not pass to the Purchaser until LA has received in cleared funds the full price payable for such goods supplied by LA to the Purchaser for which payment is then due. Until legal title passes, the Purchaser shall hold the goods as LA’s fiduciary agent and bailee and shall keep them properly stored, protected, insured and identified as LA’s property. Until that time the Purchaser is entitled to resell or use the goods in ordinary course of its business but shall account to LA for their proceeds of sale and pending payment shall hold such proceeds on trust for LA absolutely. The Purchaser’s right to resell or use the goods shall terminate automatically if a liquidator or (administrative) receiver or administrator of the Purchaser is appointed or an order is made or a resolution passed for the winding up of the Purchaser. Until such time as legal title in the goods passes to the Purchaser LA may at any time require the Purchaser or any third party where the goods are reasonably believed to be stored. In addition and without prejudice to any other right or remedy available to LA, if the purchase is in breach of the payment terms or of any of its obligations under the clause, LA shall be entitled to cancel the contract, suspend further deliveries, terminate any outstanding order or quotation with incurring any liability whatsoever as a consequence of this action.
4. Payment Terms
Terms of payment are strictly net monthly (i.e. payment on or before the end of the following month during which the invoice is dated) and in default LA shall be entitled without notice to the Purchaser (even if the Purchaser has a contract with a third party) to terminate any outstanding order or quotation, to withhold and/or suspend supplies or to reduce the Purchaser’s credit limit. LA shall also be entitled, at their discretion, to receive payment of any and all monies in respect of goods supplied whether these monies would ordinarily be due for payment at that time or not. In addition LA shall be entitled to charge the Purchaser interest on the amount unpaid at the rate of 3% above Lloyds Bank base rate until payment in full is made and the Purchase will indemnity LA in respect of all costs incurred to LA in recovering payment, including the cost of instructing Solicitors. In the event that the Purchaser tenders payment by cheque and the cheque is subsequently returned by the Purchaser’s Bankers unpaid, the Purchaser will also indemnify LA in respect of all resulting bank charge by LA.
5. Delivery
Terms and conditions for delivery are only applicable in the UK. For delivery outside the UK please contact our Sales Department.
LA will endeavour to meet any delivery date quoted but deliver dates are given and intended as an estimate only and if there are any circumstances whatsoever which prevent or delay delivery, LA shall not be bond to supply or make delivery of any goods order nor shall it be liable for any damage or consequential loss or in any other way for failure to supply or delay in delivery when so prevented or delayed.
Delivered goods are subject to a carriage charge of £6.25 exc VAT for all orders received under the value of £150.00 exc VAT.
Delivered goods may also be subject to a carriage charge where customer requirements fall outside our standard day to day deliveries; such charges will be notified at the time of processing the order.
Claims for shortages or damaged goods or any returns must be made in writing to LA within 7 days of receipt.
Claims for non delivery must be made to LA within 10 days of date of despatch shown on invoice.
After 7 days, we reserve the right to charge a 20% handling fee against the return of non-faulty goods, also any goods returned after 7 days will be done so at customers own expense or means.
6. Returns Policy
You may return any item bought from our standard range* within 30 days of delivery providing it is in the original packaging and suitable for resale. We will also pay the return carriage costs for exchanges or refunds where the return is our error or the material is deemed to be faulty.
Unless incorrectly supplied or deemed to be faulty we cannot accept the return of:
- Goods that have been embroidered, badged or printed.
- Goods that have been assembled in line with your requirements.
- Goods that have been specially procured in line with your requirements and do not form part of our standard range*.
Our promise is to uplift unwanted goods from your premises within 5 Working days of the request being made.
This does not affect your statutory rights.
* Our standard range is any item available on our website and does not include special colours or sizes.
7. Liability
The following terms apply except in the case of death or personal injury caused by LA’s negligence:-
Risk in the goods passes to the Purchaser on delivery and LA shall not be liable for any loss of or damage to or deterioration of the goods howsoever caused and the Purchaser will keep LA fully indemnified against all losses and/or liability arising from any such damage or deterioration.
If loss, damage or deterioration (other than for death or personal injury) is cased by LA’s negligence, LA’s liability shall be limited to the invoice value of goods.
All conditions and warranties as to the quality and fitness for any particular purpose of the goods supplied (whether statutory or otherwise) are expressly excluded but (without prejudice to such exclusion) every care will be taken to ensure that goods supplied will conform to LA’s standards or to the specification (within the limits of reasonable commercial accuracy/tolerance) and if LA recognises that goods supplied do not conform to its standards or to specification (within the limits of reasonable commercial accuracy/tolerance) LA will, in assessing the value of any allowance or replacement which it may agree to make, have regard to the extent/nature of the defect, information given by the Purchaser as to the application of the goods, the use already made of the goods and any other relevant factor, but in any event LA’s maximum liability shall be limited to the invoice value of the goods.
LA accepts no liability for consequential loss or damage to property which is attributed to the failure of goods supplied (whether or not LA is the manufacturer of the goods) whether due to accident, abuse, incorrect technical assessment by LA or its employer/representative or for any other reason.
8. Product Information
Whilst the Company has made every effort to ensure that details and information given in our printed publications or online are accurate at the time of issue, full technical specifications are not necessarily included and furthermore, the Company’s policy is one of continuous improvement and the right is reserved to alter details and information as the need arises. Accordingly, the customer should check any details and information they wish to rely on with the Company at the time of purchase. The Company cannot accept liability in respect of any errors or omissions herein contained or for any loss or damage, malfunction or consequential loss arising from reliance upon or publications.
9. LA Disclaimer
Any products shown online or in our printed publications do not represent endorsement by LA of any other products, services or organisations.
10. Colour Reproduction
The colour reproductions of the garments featured online or in our printed publications are as accurate as the printing or electronic process will allow, as we try at all times to ensure the best colour match possible.
11. Recording and monitoring of telephone calls
To ensure that we carry out your instructions accurately and to help us continually improve or service, all telephone calls between you and LA may be recorded and monitored for training purposes.
